RENOVO / LEGAL

Terms of Service

Effective October 5, 2026

The agreement between Renovo and the businesses that use it: accounts, subscriptions and billing, your data, integrations, and what each of us is responsible for. In short: you own your data, you can cancel any time, and there is a 15-day money-back guarantee.

The agreement

These Terms of Service ("Terms") govern your use of Renovo: our website at renovoai.app, the Renovo web app at portal.renovoai.app, the Renovo mobile app for Android and iOS, and the customer, vendor and signing portals the app sends links to (together, the "Service"). "Renovo", "we" and "us" mean Taskfleet AI Inc., an Ontario corporation, which operates the Service. "Customer" or "you" means the business that signs up for the Service, and the people it lets use it.

By creating an account, starting a subscription or using the Service you agree to these Terms on behalf of your business, and confirm you are authorized to do so. If you do not agree, do not use the Service. If your business has signed a separate written agreement with us, that agreement controls where it differs from these Terms. Questions: [email protected].

Accounts and users

  • You must give accurate information when you sign up and keep it current.
  • Each login is for one person. Keep passwords confidential; you are responsible for what happens under the logins your business creates, and must tell us promptly if you believe one has been misused.
  • Any employee or team member who signs in counts as a user for billing. The customers and vendors you send portal, payment or signing links to are not users and are not charged.
  • The Service is for businesses. You must be at least 18, and old enough to form a binding contract where you live, to create an account.

Subscriptions, billing and refunds

  • Plans. The Service is sold in plans — currently Core, Projects and Claims — each including a number of users, with additional users charged per user. The plans, their prices and what each includes are shown on our pricing page and at checkout. Enterprise and other custom arrangements are set out in a separate order.
  • Payment. Subscriptions are billed in advance, monthly or annually, through our payment processor, Stripe. Prices are in U.S. dollars unless your order says otherwise, and are before applicable taxes, which are added at checkout. You authorize us to charge your payment method for each period and for users you add.
  • Renewal and cancellation. A subscription renews automatically at the end of each period until it is cancelled. You can cancel at any time; cancellation takes effect at the end of the period you have paid for, and you keep access until then.
  • Money-back guarantee. If you are not satisfied, you may ask for a refund within 15 days of your first payment for a subscription. Approved refunds exclude non-refundable credit-card and payment-processing fees. Otherwise, fees already paid are not refundable, except where the law requires.
  • Late payment. If a payment fails and is not resolved, we may suspend the account after notice until it is paid. Your data is kept during a suspension.
  • Price changes. We may change prices for future periods. We will tell you at least 30 days before a change applies to your subscription, and you may cancel before it does.

Your data

Your business owns the information it puts into the Service — its customer, employee, vendor, job, financial and claim records, files, photos and messages ("Customer Data"). You give us permission to host, copy, transmit and display Customer Data only as needed to provide, secure and support the Service for you, and as our Privacy Policy describes. We do not sell Customer Data and do not use it to train AI models.

You are responsible for Customer Data: that you have the right to put it in the Service, that you have given any notices and obtained any consents the law requires from the people it is about, and for what you send to others through the Service — estimates, invoices, statements, purchase orders, emails, text messages, bid requests, claim documents and signature requests go out under your name, on your instructions.

While your account is open you can download your files and export your records from the Service's lists and reports, and we will help you export the rest on request. After an account is closed we delete or anonymize Customer Data within 90 days, as the Privacy Policy explains, so export anything you want to keep before you cancel. To ask for deletion sooner, write to [email protected].

Acceptable use

You agree not to, and not to let anyone else:

  • use the Service to break the law, infringe anyone's rights, or send spam, unsolicited marketing or deceptive messages — including email, text messages and calls made through the Service;
  • upload malware, or try to probe, scan, overload or gain unauthorized access to the Service, other accounts or our systems;
  • copy, resell, sublicense or reverse engineer the Service, or use it to build a competing product, except as the law expressly allows;
  • share logins, or get around user limits, usage limits or security measures;
  • put payment-card numbers, government identification numbers or health information into ordinary fields of the Service, other than through the payment and signing features built for them.

We may remove content or suspend access that breaks these rules, telling you why unless the law or the security of the Service prevents it.

Integrations and third-party services

The Service can connect to services run by others — for example QuickBooks Online (Intuit), Stripe, email, text-message and calling providers, calendar and cloud-storage services, and AI providers. When you turn one on, you authorize us to exchange the data it needs with that service on your behalf, and your use of it is also governed by that provider's own terms. We are not responsible for third-party services, their availability, or changes they make that affect an integration.

Accounting sync. When you connect QuickBooks, the records and directions you choose are copied between Renovo and your QuickBooks company, and changes made on one side can update the other. Review your sync settings before you connect a live company, and keep your own backups of your books. You can disconnect at any time from the QuickBooks page, which revokes our access.

AI-assisted features

Some features use AI to draft text, suggest prices, read documents or answer questions. Their output may be incomplete or wrong. It is a suggestion for you to review, not professional, legal, insurance, tax or engineering advice, and you are responsible for what you send or rely on.

Signatures, payments and documents

  • E-signature. The Service records signatures, consent and an audit trail. Whether an electronically signed document is enforceable for your purpose depends on the law that applies to it, which you are responsible for checking.
  • Payments from your clients. Online payment of your invoices is processed by Stripe under your own Stripe account and Stripe's terms. We are not a party to the sale between you and your client.
  • Your documents. Estimates, invoices, contracts, tax figures and the accounting reports the Service produces are calculated from the information and settings you provide. Review them before you rely on them or send them.

Our property, and feedback

We own the Service, including its software, design and content, other than Customer Data. While your subscription is active we grant your business a non-exclusive, non-transferable right to use the Service for its internal business purposes under these Terms. If you send us ideas or feedback, we may use them without any obligation to you.

Availability and changes to the Service

We work to keep the Service available and secure, but it may be interrupted for maintenance, by updates, or by events outside our control, and we do not promise it will be uninterrupted or error-free. We improve the Service continuously and may add, change or remove features; if we remove a feature that is a material part of your plan, we will tell you in advance where we reasonably can. Features marked as beta or preview are provided as they are and may change or end.

Suspension and termination

You may stop using the Service and cancel your subscription at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, do not pay, or if we must to comply with the law or protect the Service or other customers; except in urgent cases we will give notice first and a chance to fix the problem. When an account ends, the right to use the Service ends, and Customer Data is handled as described under Your data. Sections that by their nature should survive — including fees owed, ownership, disclaimers, limitation of liability and indemnity — survive.

Disclaimers

Except as these Terms expressly say, the Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Some places do not allow these exclusions, so some may not apply to you.

Limitation of liability

To the fullest extent the law allows: neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible; and each party's total liability arising out of these Terms or the Service is limited to the fees your business paid us for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to your obligation to pay fees, to either party's indemnity obligations, or to liability that the law does not allow to be limited.

Indemnity

Your business will defend and indemnify us against claims by third parties arising from Customer Data, from documents and messages you send through the Service, or from your use of the Service in breach of these Terms or the law, and pay the resulting damages and reasonable costs.

Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of Ontario have exclusive jurisdiction over any dispute arising from them, and both parties submit to those courts, except that either party may seek an injunction anywhere to protect its property or confidential information. Before going to court, we each agree to try in good faith to resolve a dispute by writing to the other.

General

These Terms, with the Privacy Policy and any order you sign with us, are the whole agreement between us about the Service. If part of them is unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them to a successor of our business. Neither party is liable for delays caused by events beyond its reasonable control. Notices to you may be sent to the email address on your account; notices to us go to the address below.

Changes to these Terms

We may update these Terms. We will change the date at the top of this page and, for a material change, tell account owners by email or in the app at least 30 days before it takes effect. Continuing to use the Service after a change takes effect means you accept it; if you do not, you may cancel before then.
